These terms and conditions of use (the “Terms”) govern your use of our online interfaces and properties (e.g., websites) (collectively, the “Site”), as well as to your visits to or interaction with us in any of our stores or elsewhere. Please read these Terms carefully before using this Site. The Site is owned or controlled by Aquarius Tours Pte Limited (“Tavarua”). By accessing this Site in any way, including, without limitation, browsing this Site, using any information, and/or submitting information to Tavarua, or interacting with us in any other way, you agree to and are bound by the terms, conditions, policies, and notices contained in the Terms. From time to time, we may update this Site and these Terms.  Your use of this Site after we post any changes to these Terms constitutes your agreement to those changes. This Site is offered and available to users who are at least 18 years or older (or over the legal age of majority in your jurisdiction). By using this Site, you represent and warrant that you meet all the foregoing eligibility requirements. If you do not meet all these requirements, you must not access or use the Site.

Ownership of the Site

Content on this Site that is provided by Tavarua or its licensors, including certain graphics, photographs, images, screen shots, text, digitally downloadable files, trademarks, logos, product and program names, slogans, and the compilation of the foregoing ("Tavarua Content") is the property of Tavarua and its licensors, and is protected in the U.S. and internationally under trademark, copyright, and other intellectual property laws.

You agree not to download, display or use any Tavarua Content located on the Site for use in any publications, in public performances, on websites other than this Site for any other commercial purpose, in connection with products or services that are not those of Tavarua, in any other manner that is likely to cause confusion among consumers, that disparages or discredits Tavarua and/or its licensors, that dilutes the strength of Tavarua or its licensor's property, or that otherwise infringes Tavarua or its licensors’ intellectual property rights. You further agree to in no other way misuse any Tavarua Content or third-party Content that appears on this Site.

Site Access and Restrictions

The following requirements apply to your use of the Site: (a) you will not use any electronic communication feature of the Site for any purpose that is unlawful, tortious, abusive, intrusive on another's privacy, harassing, libelous, defamatory, embarrassing, obscene, threatening, or hateful; (b) you will not upload, post, reproduce, or distribute any information, software, or other material protected by copyright or any other intellectual property right (as well as rights of publicity and privacy) without first obtaining the permission of the owner of such rights; (c) you will not collect or store personal data about other users; (d) you will not use the Site for any commercial purpose not expressly approved by Tavarua in writing; (e) you will not upload, post, email, or otherwise transmit any advertising or promotional materials or any other form of solicitation or unauthorized communication; (f) you will not upload, post, email, or otherwise transmit any material that contains viruses or any other computer code, files, or programs which might interrupt, limit, or interfere with the functionality of any computer software or hardware or telecommunications equipment.

You may not use any scraper, crawler, spider, robot or other automated means of any kind to access or copy data on the Site, deep-link to any feature or content on the Site, bypass our robot exclusion headers or other measures we may use to prevent or restrict access to the Site.

Violations of system or network security may result in civil or criminal liability. Tavarua will investigate occurrences that may involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting users who are involved in such violations. You agree not to use any device, software, or routine to interfere or attempt to interfere with the proper working of this Site or any activity being conducted on this Site.

User Content; Reviews; Feedback and Other Postings

Our Site permits you to submit your personal information, data and information related to you and certain other information and materials (“User Content”).  By using these features, you agree that you will not post any content that is unlawful, harmful, tortious, defamatory, libelous, obscene, invasive of the privacy of another person, threatening, harassing, abusive, hateful, racist, infringing, pornographic, violent or otherwise objectionable or inappropriate as determined by Tavarua; that you will not post any content that contains personal information about any individual, violates the privacy/publicity of any other individual or entity, or anything that you are under a contractual obligation to keep private or confidential; that you will not impersonate any person or organization, including without limitation, the personnel of Tavarua, or misrepresent an affiliation with another person or organization; you will not post any content that contains viruses, corrupted files, or any other similar software or programs that may adversely affect the operation of the Site, or feature of the Site.  Tavarua may cancel your account and delete all User Content associated with your account at any time, and without notice, if Tavarua deems that you have violated these Terms, the law, or for any other reason.  Tavarua assumes no liability for any information removed from our Site and reserves the right to permanently restrict access to the Site or a user account.

By displaying, publishing, or otherwise posting any User Content on or through the Site, you hereby grant to Tavarua a non-exclusive, sub-licensable, worldwide, fully-paid, royalty free license to use, modify, publicly perform, publicly display, reproduce, and distribute such User Content in any and all media now known or hereinafter developed without the requirement to make payment to you or to any third party or the need to seek any third party permission. This license includes the right to host, index, cache, distribute, and tag any User Content, as well as the right to sublicense User Content to third parties, including other users, for use on other media or platforms known or hereinafter developed, such as for use on mobile phones, in video or music software computer programs.

You represent and warrant that (i) you own the User Content submitted, displayed, published or posted by you on the Site and otherwise have the right, authority or permissions to grant the license set forth herein, (ii) the User Content was collected in accordance with applicable laws, rules, and regulations, and (iii) the displaying, publishing or posting of any content you submit, and our use thereof does not and will not violate the privacy rights, publicity rights, copyrights, trademark rights, patents, contract rights or any other intellectual property rights or other rights of any person or entity.

Tavarua does not endorse, verify, evaluate or guarantee any information provided by users and nothing shall be considered as an endorsement, verification or guarantee of any User Content. You shall not create or distribute information, including but not limited to advertisements, press releases or other marketing materials, or include links to any sites which contain or suggest an endorsement by Tavarua without the prior review and written approval of Tavarua.

You agree to indemnify and hold Tavarua, its parents, subsidiaries, officers, employees, and website contractors and each of their officers, employees and agents harmless from any claims, damages and expenses, including reasonable attorneys' fees and costs, related to your violation of these Terms, including the Privacy Policy, or any violations thereof by your dependents or which arises from the use of User Content you submitted, posted, or otherwise provided to Tavarua or this Site.

Accounts; Passwords

If a particular feature or service offered on the Site requires you to open an account, you must complete the specified registration process by providing us with current, complete, and accurate information as requested by the applicable online registration form. It is your responsibility to maintain the currency, completeness, and accuracy of your registration data and any loss caused by your failure to do so is your responsibility. After you have fully completed the registration form, you may be asked to choose a password and a username. It is entirely your responsibility to maintain the confidentiality of your password and account. Additionally, you are entirely responsible for any and all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. You further agree not to email, post, or otherwise disseminate any user ID, password, or other information which provides you access to the Site.  Tavarua is not liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge.

Typographical Errors and Incorrect Pricing

In the event a product is listed at an incorrect price due to typographical error or error in pricing information received from our suppliers, we shall have the right to refuse or cancel any orders placed for product / service listed at the incorrect price. We shall have the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit or debit card charged. If your credit or debit card has already been charged for the purchase and your order is canceled, we shall promptly issue a credit to your credit or debit card account in the amount of the incorrect price.

Order Acceptance

We reserve the right, at our sole discretion, to refuse or cancel any order for any reason. Your account may also be restricted or terminated for any reason, at our sole discretion. For your convenience, you will not be charged until your payment method is authorized, the order information is verified for accuracy and your order is shipped (except for orders, including pre-orders, paid for with a gift card or PayPal account which are charged at the time you place your order, not when your order is shipped). Some situations that may result in your order being canceled include limitations on quantities available for purchase, inaccuracies or errors in product or pricing information, or problems identified by our credit and fraud avoidance department. We may also require additional verifications or information before accepting any order. We will contact you if all or any portion of your order is canceled or if additional information is required to accept your order. If your order is canceled after your credit card (or other payment account) has been charged, we will issue a credit to your credit card (or other applicable payment account) in the amount of the charge.

Online Payments; Credit Cards

You can purchase product on the Site. We accept credit and debit cards. If a credit card account is being used for a transaction, Tavarua may obtain preapproval for an amount up to the amount of the payment. If you want to designate a different credit card or if there is a change in your credit card, you must change your information online. This may temporarily delay your ability to make online payments while we verify your new payment information.

You represent and warrant that if you are making online payments that: (a) any credit card, debit card and bank account information you supply is true, correct and complete; (b) charges incurred by you will be honored by your credit/debit card company or bank; (c) you will pay the charges incurred by you in the amounts posted, including any applicable taxes; and (d) you are the person in whose name the card was issued and you are authorized to make a purchase or other transaction with the relevant credit card and credit card information.

Site Accuracy

Although we intend to provide accurate and timely information on the Site, the Site (including, without limitation, the Tavarua Content) may not always be entirely accurate, complete or current and may also include technical inaccuracies or typographical errors. We have made reasonable efforts to accurately display colors and images of our products that appear at the store. We cannot guarantee that your computer monitor's display of any color will be accurate. The information published on the Site is provided as a convenience to our customers and is provided for informational or transactional purposes only. In an effort to continue to provide you with as complete and accurate information as possible, information may be changed or updated from time to time without notice, including without limitation information regarding our policies, products and services. Tavarua makes no representations about the reliability of the features of this Site, the Tavarua Content, User Content, or any other Site feature, and disclaims all liability in the event of any service failure. Export Policy and Restrictions

You acknowledge that the products and Tavarua Content which are sold or licensed on the Site, which may include technology and software, are subject to the customs and export control laws and regulations of the United States of America and may also be subject to the customs and export laws and regulations of the country in which the products are manufactured and/or received. By purchasing products, downloading or using technology or software from the Site, you agree to abide by the applicable laws, rules and regulations - including, but not limited to the Export Administration Act and the Arms Export Control Act - and you represent and warrant that you will not transfer, by electronic transmission or otherwise, the software or technology to a foreign national or a foreign destination in violation of the law. By purchasing any products, you agree that you will not use any products, or provide products to any person, who is forbidden from receiving the product under the Export Administration Regulations or any economic sanctions are maintained by the U.S. Department of Treasury. U.S. antiboycott regulations, or U.S. economic sanctions, including the export and antiboycott restrictions found in the Export Administration Regulations or the sanctions regulations administered by the U.S. Office of Foreign Assets Control. Governing Law

These Terms will be governed by and construed in accordance with the internal laws of Fiji without regard to conflicts of laws principles.

Any other terms of sale or return and warranty policies on our Site are hereby incorporated by reference into these Terms.

Assignment

Tavarua may assign this agreement, in whole or in part, at any time with or without notice to you. You may not assign this agreement, or any part of it, to any other person. Any attempt by you to do so is void.

Miscellaneous

These Terms constitute a binding agreement between you and Tavarua and is accepted by you upon your use of the Site or your account. These Terms constitute the entire agreement between you and Tavarua regarding the use of the Site and your account. Both you and Tavarua acknowledge and agree that no partnership is formed and neither of you nor Tavarua has the power or the authority to obligate or bind the other. If Tavarua fails to act with respect to your breach or anyone else's breach on any occasion, Tavarua is not waiving its right to act with respect to future or similar breaches. If any provision of these Terms shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these terms of use and shall not affect the validity and enforceability of any remaining provisions.

BY USING THE SITE, MAKING A PURCHASE WITH US, OR OTHERWISE PROVIDING US WITH YOUR PERSONAL INFORMATION, YOU ARE CONSENTING TO THIS PRIVACY POLICY. PLEASE READ IT CAREFULLY.

Categories of Personal Information We Process

The type of information that we collect depends on your interaction and relationship with us.  We may collect the below categories and types of personal information with your consent or as otherwise required or permitted by law.  

  • Identifiers. We may collect name, postal address, telephone number, email address, and business contact information.
  • Payment Information. This includes credit or debit card number, expiration date, and CVV number.
  • Audio/Visual Data. We may collect audio, electronic, photographic, visual or similar data including photographs, audio messages, and text messages.
  • Commercial Information.  We may collect records of products or services purchased, obtained, or considered and purchasing histories.

We collect personal information in the following ways:

  • Directly from you.  We may collect personal information that you provide directly to us.  This includes when you are interacting with products, services, systems, applications, offers, or news. It includes when you participate in our promotions, contests, events, or leave reviews.
  • When You Visit Our Resort.  We may collect personal information from security cameras when you visit our resort.
  • Automatically.  When you access our Site, we may collect internet or electronic usage data using tools like browser cookies.
  • From third-parties including vendors and service providers.  We may collect identifiers, commercial information, education information, financial information, internet or electronic usage data, and professional or employment information from third parties including vendors and service providers.  
  • Social Networks.  Depending on the information you choose to share and your privacy settings, we may collect personal information through social networks.  Based on the way you have set your privacy settings on your social media accounts, most social media platforms, like Facebook, analyze data about how you interact with our Sites and combine it with information on other users to provide us information about you.  In addition, we may receive information about you if other users interact with us on social media and information about you is visible to us, for example the fact that you are “friends” or other public-facing profile information.
  • Advertising and data analytics providers. We may collect personal information from our advertising and data analytics providers. This includes when conduct email campaigns and receive site feedback. It also includes when we receive marketing information, such as trends, usage, and activities from our providers.

  • Combination of Data.  We combine information we obtain from different sources with publicly available information, including to create inferences about you.  We combine information that we have collected across other third-party sites.  We combine information across third-party sites, such as social media sites, and across devices, such as computers and mobile devices.  We may also combine information we get from a third party with information we already have.
  • Maintenance and Improvement of our Sites and Systems.  We use personal information to improve our Sites and systems, provide and maintain functionality on our Sites and systems, and help us diagnose technical and service problems and administer our Sites and systems.
  • Security and Fraud Prevention.  We use personal information to: (i) protect our Site, premises, assets, systems, products, services and intellectual property; (ii) protect us, our affiliated companies, our employees, and others from fraud, theft, and other misconduct; (iii) conduct vendor due diligence; and (iv) detect and prevent fraud, theft, and misconduct including by verifying the identity of those we are considering hiring and those we are conducting business with.

  • Other Purposes.  We may use personal information for other reasons we may describe to you.

How We Disclose Personal Information

We disclose personal information in the following circumstances:

  • Service Providers.  We may share personal information with vendors and service providers who support the operation of our products, services, Site, and our business and who need access to such information to carry out their work for us (including, for example, cloud hosting providers, lawyers, bankers, tax consultants, auditors, insurers, payment processors, financial institutions, email delivery vendors, internet service providers, operating systems and platforms, order fulfillment, couriers, printing services, credit check companies, security companies, maintenance and customer support services).  In some cases, the vendor or service provider may directly collect the information from you on our behalf.
  • Booking Agency.  We use booking agency, Water Ways Travel. to help you inquire about or make a reservation or booking for our resort.  When you submit your personal information to us through our reservation inquiry form or otherwise inquire about making a reservation or booking an event at our resort, that information will be shared with our booking agency who may contact you to follow-up on your request.
  • Marketing/Analytics/Advertising Partners. We may share personal information with third-party marketing, analytics or advertising partners, including social media platforms and networks, who provide analytics or marketing and advertising services to us.  
  • Government Entities.  We may share information with regulatory and government entities including government, administrative, law enforcement and regulatory agencies; tax authorities; and other public agencies or authorities if we think we should in order to comply with any applicable law, regulation, legal process or other legal obligation.  This includes cooperating with law enforcement when we think it is appropriate, obtaining legal remedies or limiting our damages, and to enforcing or protecting our contracts, legal rights or the rights of others, including by responding to claims asserted against us.  
  • Corporate Transaction Recipients. We may share information with potential investors, purchasers, merger partners, and their advisors in the event we: (i) sell or transfer, or are considering selling or transferring, all or a portion of our business or assets; or (ii) are considering or engaging in any reorganization, conversion, merger, sale, joint venture, assignment, transfer or disposition of all or any portion of our ownership interest, business or operations; or (iii) are soliciting or accepting investments.
